Panama's Updated Regulations on Corporate Rights Suspension

The Public Registry of Panama issued Resolution DG-019-2025, which was published in the Official Gazette No. 30245 on March 27, 2025. The Resolution stipulates the Public Registry’s procedure for suspension of corporate rights for legal entities failing to appoint a Resident Agent for a period exceeding ninety (90) calendar days. This Resolution mandates the suspension of corporate rights for such non-compliant entities and outlines procedures for the subsequent lifting of said suspension.
Key provisions include:
Suspension status will be placed for legal entities lacking a Resident Agent for over 90 days, with said period commencing upon the registration of the resident agent's resignation, dissolution/termination of the agent firm, or death of the agent;
The ability to lift the suspension through formal appointment of a Resident Agent; and
This resolution applies to legal entities that are legally required to have a resident agent.
Additionally, as per the Resolution, paragraph 5 of Article No. 318-A of the Fiscal Code establishes a fine of One Thousand US Dollars (US$ 1,000.00) payable to the competent authority responsible for issuing the suspension order.
